Corporate Governance
Basic Approach to Corporate Governance
Our basic policy is to clarify management responsibility and accountability to stakeholders, including shareholders, customers, and employees, and to maximize corporate value by ensuring transparency and soundness in management and business execution, thoroughly enforcing compliance, and simultaneously promoting efficient management.
As we move forward with these initiatives, we intend to strive for the further enhancement of our corporate governance.

Corporate Governance Structure Chart
As a company with a Board of Auditors, we have established the following governance structure. Directors and auditors are directly appointed by shareholders; as individuals entrusted with management, they appropriately fulfill their respective roles and are accountable to stakeholders, including shareholders, for management performance. We operate across the entire energy business, from upstream to downstream, and in recent years, our business scope has expanded overseas. Consequently, management judgments, decision-making, and their oversight require multifaceted risk assessments grounded in specialized knowledge and practical experience in the energy sector. For this reason, executive directors with in-depth knowledge of our business are involved in management judgments and decision-making from diverse perspectives. Furthermore, we have established a structure to ensure the transparency and fairness of decision-making: outside directors provide advice and guidance from an independent standpoint, while auditors audit and supervise the execution of duties from a position completely independent of the Board of Directors.
