Notice of Establishment of Sustainability Committee

erex Co., Ltd. is pleased to announce that its board of directors resolved at a board of directors meeting held on August 10, 2022 to establish “Sustainability Committee” for the purpose of promoting erex Group’s ESG initiatives toward the realization of a sustainable society, as follows.

1.Purpose of Establishing the Sustainability Committee

Under its vision for 2030, “- For the realization of a sustainable society -; To become a pioneer in the new era of electric power with renewable energy at its core”, erex Group aims to grow with renewable energy at its core, pursuing economic rationality and engaging in an integrated electric power business based on biomass power generation, from fuel business to power generation business, trading business, which is becoming more important due to electric power liberalization, and electric power retail business.
Through these efforts, erex Group has decided to establish “Sustainability Committee” with the aim of contributing to the sustainable development of society while strengthening the risk management infrastructure of the entire erex Group and promoting sustainability management, thereby enhancing its corporate value over the medium to long term.

2.Committee Membership

The Sustainability Committee consists of a total of six members, including relevant directors, executive officers, and chairpersons of subcommittee of each theme.

3.Role of the Committee

The Sustainability Committee has the authority to evaluate and supervise erex Group’s sustainability-related measures and is responsible for reporting to the executive meeting.

4.Operations of the Committee

The Sustainability Committee shall focus on three themes of “E: Environment,” “S: Society,” and “G: Governance,” and shall establish three subcommittees under the Sustainability Committee, with “Environmental Subcommittee”, “Social Subcommittee”, and “Governance Subcommittee” respectively. Each subcommittee shall study the strategies and action plans formulated by the Sustainability Committee in detail, promote sustainability-related measures in cooperation with each division and affiliated company of erex Group, and report the progress to the Sustainability Committee.
The Sustainability Committee shall be chaired by the director in charge of the corporate planning department.
